• CEG is seeking an in-house attorney to serve as a practical legal resource to the business.
• Owning contract intake, legal review, redlines, internal alignment, approvals, and signature.
• Leading negotiations and driving execution across our portfolio, including prime contracts, subcontracts, vendor agreements, and proposal/RFP terms.
• Providing general business legal support across the company (day-to-day legal guidance, issue-spotting, and coordination with outside counsel as appropriate).
• Review third-party contracts, including prime agreements, RFPs/solicitation terms, subcontracts, purchase orders, professional services agreements, consulting agreements, and change order/amendments.
• Identify and clearly communicate legal, financial, schedule, and operational risks.
• Propose specific, actionable redlines aligned to CEG’s risk framework.
• Coordinate internal reviews and approvals (project team, operations, finance, risk/insurance, leadership, and outside counsel when needed).
• Ensure all approved redlines are correctly reflected in the final execution copies and attachments/exhibits.
• Support subcontract negotiations and ensure subcontract and vendor agreements appropriately flow down applicable prime contract obligations and protections.
• Support proposal/RFP responses by reviewing T&Cs, developing exceptions/clarifications, and aligning commercial positions with pricing, schedule, and delivery assumptions.
• Provide day-to-day legal support and contract compliance management on broader business matters, as needed (e.g., corporate governance, employment-related issues spotting in partnership with HR, vendor disputes, compliance/ethics questions, etc.).

Corporate Counsel – Contracts Negotiation and Administration

• Own commercial contracting. Draft, review, redline, negotiate, and close client, agency, and customized agreements, including MSAs, SOWs, order forms that focus on Saas and digital-credit and usage-based arrangements, NDAs, and amendments.
• Lead client-side legal negotiations with speed. Take ownership of legal terms once commercial terms are set; respond and turn drafts quickly, negotiate directly with client legal, procurement, privacy, and security teams, and maintain momentum through execution. Provide business stakeholders with concise status updates, clearly framed risks, and the specific decisions needed to close.
• Manage vendor and consulting agreements. Review and negotiate inbound SaaS, technology, data, professional-services, contractor, and consulting agreements, balancing operational needs, speed, cost, and risk.
• Apply commercially calibrated risk judgment. Negotiate and provide practical guidance on liability caps, indemnities, warranties, intellectual property and content rights, confidentiality, data use, security, privacy, insurance, payment, termination, and dispute provisions. Understand which protections are essential, where Statusphere can responsibly accept risk, and when an issue requires executive or outside-counsel escalation.
• Own website and product legal content. Maintain and periodically update website Terms & Conditions, Privacy Policy, cookie and consent language, and other customer- or user-facing legal notices in coordination with Product, Marketing, Security, and outside specialists.
• Own Creator-Statusphere and Brand-Creator Agreements. Signed for each campaign and brands may have specific versions of this to deploy which must be monitored and auditable.
• Provide operational legal guidance. Answer day-to-day questions involving payments, contracting authority, creator relationships, content and usage rights, compliance, business processes, and other legal issues arising across the company.
• Build scalable legal operations. Create and maintain templates, clause libraries, negotiation playbooks, approval thresholds, fallback positions, intake processes, signature workflows, and a contract repository that improve speed and consistency.
• Advise executives and manage escalation. Present the COO/CFO and other C-level leaders with a concise assessment of the issue, business impact, likelihood and severity of risk, available options, and a clear recommended path. Prioritize matters by business impact and coordinate outside counsel for specialized, jurisdiction-specific, or high-risk matters.
• Partner cross-functionally and learn the business. Build a strong working understanding of Statusphere’s customers, creator ecosystem, products, revenue model, deal economics, and operating workflows. Work closely with Sales and other teams to remove deal blockers, support accurate handoffs, and ensure contractual commitments are understood, documented, and operationally achievable.

In-House Commercial Counsel

• Provide strategic advice and counsel to the People team and business stakeholders on a broad range of U.S. employment issues, including recruiting and hiring, onboarding, performance management, disciplinary actions, leaves of absence, accommodations, wage and hour compliance, compensation and benefits, pay transparency, contingent workers, employee classification, reorganizations, redundancies, non-competition and non-solicitation, and separations and terminations
• Oversee internal workplace investigations, including matters involving harassment, discrimination, retaliation, whistleblower complaints, and policy violations
• Investigate and respond to claims, demand letters, administrative complaints, audits, and other employment-related inquiries
• Manage pre-litigation and litigation matters with the assistance of outside counsel as needed
• Draft, review, and negotiate employment-related documents and templates, including offer letters, employment agreements, contingent worker agreements, separation and severance agreements, and release agreements
• Develop, review, and update employment policies, standards, and HR guidelines to ensure compliance with applicable federal, state, and local laws
