Lead the design and administration of executive compensation programs, including base pay, annual incentives, and long-term equity awards.
Manage the development of executive compensation-related disclosures for SEC filings, including the CD&A and required executive tables (e.g., Summary Compensation Table, Outstanding Equity Awards).
Ensure full compliance with evolving SEC, IRS, and global regulations affecting executive pay, including 162(m), 280G, and 409A.
Partner with internal stakeholders and external advisors to prepare timely and accurate proxy materials and public company reporting.
Serve as the subject matter expert for executive pay governance, disclosure, and best practices.
Provide guidance on Section 16 officer compliance, including Form 4 filings and related reporting.
Stay current on market trends, regulatory changes, and shareholder perspectives to inform compensation design and governance.
Support Board and Compensation Committee meeting preparation, including detailed benchmarking, peer analysis, and pay-for-performance alignment.
Collaborate cross-functionally with Legal, Finance, Total Rewards, and external consultants to deliver comprehensive and cohesive executive compensation strategies.
Contribute to the development of scalable frameworks and tools that can support our future as a public company.
Requirements
5+ years of progressive experience in executive compensation, with exposure to public company requirements and filings.
Deep knowledge of SEC proxy rules, equity plan design, and statutory reporting requirements.
Experience preparing or advising on CD&A and executive compensation tables.
Strong understanding of financial modeling, tax implications, and compliance requirements tied to executive pay.
Exceptional attention to detail and comfort operating in high-stakes, confidential environments.
Effective communicator and trusted partner to senior leadership and cross-functional teams.
Experience managing external legal and compensation advisors is a plus.
