General Counsel

• Provide strategic advice and counsel to the People team and business stakeholders on a broad range of U.S. employment issues, including recruiting and hiring, onboarding, performance management, disciplinary actions, leaves of absence, accommodations, wage and hour compliance, compensation and benefits, pay transparency, contingent workers, employee classification, reorganizations, redundancies, non-competition and non-solicitation, and separations and terminations
• Oversee internal workplace investigations, including matters involving harassment, discrimination, retaliation, whistleblower complaints, and policy violations
• Investigate and respond to claims, demand letters, administrative complaints, audits, and other employment-related inquiries
• Manage pre-litigation and litigation matters with the assistance of outside counsel as needed
• Draft, review, and negotiate employment-related documents and templates, including offer letters, employment agreements, contingent worker agreements, separation and severance agreements, and release agreements
• Develop, review, and update employment policies, standards, and HR guidelines to ensure compliance with applicable federal, state, and local laws
• Support Tanium’s federal contractor compliance obligations, including OFCCP compliance evaluations and AAP preparation and maintenance under VEVRAA and Section 503
• Advise on legal issues arising from the use of AI tools in recruiting and employment practices
• Design and deliver employment related training to the People team, employees and managers
• Monitor federal, state, and local employment law developments and proactively communicate changes and their business implications to the People team, leadership, and relevant stakeholders

Employment Counsel

• Draft and negotiate complex SaaS sales agreements with our largest customers and prospects (including related privacy and information security terms)
• Work closely with the sales and deal desk teams, along with professional services, revenue operations, sales operations, and finance/accounting
• Provide legal counsel (and offer practical business advice, as appropriate) to ServiceTitan and its subsidiaries related to deal structure, contract drafting and negotiation, and risk assessment and management
• Collaborate with the Senior Commercial Counsel and business leaders on improving contract management, playbooks, workflows, processes, templates and best practices to adapt to our rapidly growing business
• Pitch in as needed on partnerships, joint ventures, marketing, vendors (generally), B2B integration, professional services, and software/intellectual property development and licensing agreements
• Drive continuous improvement, scalability and operational excellence in deal processes and execution.

Commercial Counsel

• Lead the preparation, review and filing of SEC reports and disclosures, including Forms 10-Ks, 10-Qs, 8-Ks, Registration Statements, and other security filings.
• Assist in the preparation of proxy statements and help to coordinate logistical matters related to the annual meeting of stockholders and any special meeting of stockholders.
• Advise on insider trading policies, pre-clearance procedures, trading windows and Rule 10b5-1 plans.
• Review Section 16 filings (Form 3, 4, and 5 filings).
• Provide legal support to the Investor Relations, Communications, and Marketing teams on external communications, including press releases, blog posts, earnings releases, and investor presentations, ensuring compliance with Regulation FD, securities laws, and other disclosure requirements.

• Enforce company positions on non-standard terms and manage escalation paths, improving time-to-signature without increasing legal or commercial risk.
• Train and enable Sales to handle routine negotiations independently, reducing legal bottlenecks at scale.

Litigation, Trust & Risk Counsel

• Lead end-to-end negotiation of SynMax licensing instruments (MLAs, Order Forms, trials, Agents addenda, NDAs) against sophisticated counterparties in energy, trading, and defense, holding SynMax's standard positions on liability, IP ownership, data use, and model training.
• Compare every incoming redline against SynMax's last transmitted draft and deliver tiered risk analysis with proposed language, not a list of concerns.
• Support prime and subcontract work under the FAR Part 12 commercial framework, DFARS data rights protection, and disciplined flowdown review.
• Maintain SynMax's platforms and derived data products as consistently and defensibly characterized as proprietary commercial technology; flag anything touching ownership or sourcing for GC review before it goes out.
• Issue-spot export control questions under the EAR, support classification reviews and sanctions screening, and escalate to specialist outside counsel where needed.
• Handle offer letters, consultant and separation agreements, equity administration, governance matters, and UK intercompany arrangements.

Assistant General Counsel

• Investigate factual situations and present creative solutions based on independent legal research and analysis
