About the role
- Provide oversight, legal advice and support to TD Bank management in Corporate Group Functions and Business Units
- Provide dedicated support for meetings of the Board of Directors and its committees, including meeting agendas, materials review and minutes
- Help manage the Bank’s subsidiary governance and regulatory obligations
- Prepare resolutions, contracts, memoranda to management, litigation documents and forms
- Serve as legal expert in defined subject matter areas and participate in major legal actions
- Foresee and protect the Company against legal risks and provide pragmatic legal opinions
- Manage and supervise paralegal and administrative staff and external counsel as required
- Advise lines of business on best practices to minimize legal and litigation risk
- Assist in management of expenditures for external counsel and departmental budgeting for legal spend
- Work closely with General Counsel, the Office of the CEO, Corporate Secretary's Office and senior executives
- Anticipate client needs, resolve conflicts between business units and Company interests, and participate in special projects
Requirements
- Bachelors degree required
- J.D. from an Accredited Law School required
- 10+ Years of related experience
- Strong knowledge of at least one area of law relating to banking/financial services operations and issues

- Preferred: corporate governance and/or subsidiary governance experience in a corporate legal department or Corporate Secretary's office
- Preferred: experience facilitating board and committee meetings, preparing agendas, and taking minutes
- Preferred: experience drafting board communications, memorandums, resolutions and consents
- Preferred: experience maintaining corporate records, minute books, and entity filings
- Preferred: experience overseeing subsidiary governance operations and supporting subsidiary compliance in business development and M&A
- Preferred: working knowledge of laws, rules, and regulations applicable to corporate governance
- Preferred: experience working in a regulatory environment
