Manage day-to-day operations of the company’s equity plans, including stock option grants, exercises, and other equity transactions
Maintain accurate and up-to-date records in equity management platforms (e.g., Carta, Shareworks, or similar)
Coordinate with Finance and Legal on equity-related matters such as cap table maintenance, reporting, and compliance
Ensure equity plans and transactions comply with federal, state, and international regulations, as applicable
Serve as the primary point of contact for employees regarding equity-related questions and support onboarding
Develop and deliver clear, engaging employee education materials and training on equity compensation
Support board and compensation committee materials related to equity grants and reporting
Coordinate with auditors, external counsel, and vendors for annual audits and valuations (e.g., 409A)
Evaluate and improve equity program processes to ensure scalability and efficiency
Partner with leadership to model scenarios for future equity pool usage and grant strategies
Benchmark industry practices to ensure the company remains competitive with its equity programs
Requirements
Bachelor’s degree in Finance, Accounting, HR, Business Administration, or related field (advanced degree or certification such as CEP – Certified Equity Professional – strongly preferred)
5+ years of experience administering equity programs, preferably at a high-growth private company
In-depth knowledge of equity compensation, securities regulations, tax, and compliance requirements
Experience working with equity administration platforms (Carta, Shareworks, E*TRADE, etc.)
Experience coordinating audits and valuations (e.g., 409A) and working with external counsel and auditors
Strong analytical, organizational, and communication skills with a high attention to detail
Ability to manage confidential information with integrity and discretion
Comfortable working cross-functionally with Finance, Legal, and People teams
Must meet “U.S. Person” status requirements for access to export-controlled information (U.S. citizen, legal permanent resident, or certain protected classes of asylees and refugees)
