About the role

  • Draft, review, redline, and negotiate customer, partnership and supplier contracts for cross-border transactions, including U.S. and international commercial contracts such as master service agreements, lease and vendor agreements, indemnity agreements, and related transactional documents.
  • Collaborate closely with Sales to ensure efficiency and alignment in the negotiation process.
  • Support internal stakeholders in contract interpretation, risk assessment, and understanding the impact of local laws on business activities.
  • Ensure transactional documents and company actions comply with local laws, U.S. contract standards, and global company policies , including data protection regulations (GDPR, CCPA, LGPD, etc.).
  • Prepare and maintain corporate governance documents, such as articles of incorporation, powers of attorney, certificates, and meeting minutes, in alignment with Mexico/Costa Rica corporate requirements .
  • Deliver internal training on commercial contracting best practices, compliance, and data protection.
  • Identify and analyze legal issues, providing clear, practical recommendations to business stakeholders.
  • Participate in cross-functional teams to resolve complex business issues and improve legal processes.
  • Assist with dispute resolution and coordinate with outside counsel when necessary.
  • Contribute to industry trade organization activities and perform other legal tasks as assigned by the Director of Legal.

Requirements

  • Licensed attorney in Mexico or Costa Rica , with the ability to work on cross-border legal matters.
  • 3+ years of experience handling U.S. commercial contracts in a law firm or in-house setting.
  • Strong knowledge of local corporate law and exposure to international and U.S. business law.
  • Knowledge of local employment law is a plus.
  • Excellent legal drafting and negotiation skills in English and Spanish .
  • Understanding of data privacy principles (GDPR, CCPA, U.K. privacy law) preferred.
  • Ability to deliver business-focused, risk-balanced legal advice in a fast-paced environment.
  • Strong communication and interpersonal skills, with the ability to influence and collaborate effectively.
  • Proactive, solutions-oriented mindset with strong organizational skills.
  • Law firm experience is preferred; in-house experience with cross-border contracts is a plus.
