Draft, review, and negotiate contracts, memoranda, policies, and other legal documents to safeguard the company’s interests, including primary responsibility for the review and negotiation of Non-Disclosure Agreements (NDAs)
Assist in corporate governance activities, including primary responsibiity for the preparation of board meeting materials, corporate filings, and maintenance of statutory records.
Maintain and update existing contract templates and contracting processes.
Conduct legal research and prepare concise memoranda to inform business decisions.
Support compliance initiatives and internal audit processes to ensure adherence to company policies and industry standards.
Assist with due diligence and legal support for mergers, acquisitions, and other corporate transactions.
Coordinate with external counsel as directed by the General Counsel to support litigation, investigations, or specialized legal matters.
Maintain accurate records of legal documents, contracts, and corporate filings.
Perform additional duties as assigned to support the legal and operational needs of the company.
Requirements
Juris Doctor (JD) degree from an accredited law school.
Admission to practice law in Minnesota or eligibility for admission.
1-3 years of legal experience, preferably with a focus on general corporate law, corporate governance, and commercial contract drafting and review through internships or prior legal positions.
Demonstrated academic excellence and strong legal writing, analytical, and research skills.
Familiarity with corporate governance, and commercial contract drafting and review is preferred.
