About the role

  • Represent HSI and its subsidiaries in a broad array of corporate legal matters
  • Provide high-quality, responsible, and efficient legal advice and counsel to business units
  • Draft, review and negotiate a wide variety of commercial agreements
  • Assist in domestic and international M&A transactions and due diligence
  • Support federal securities law analysis and public filings
  • Draft and negotiate technology agreements including software, data license, cloud services and professional services agreements
  • Review sales, marketing, and promotional materials for legal compliance
  • Advise on data security and privacy related matters
  • Facilitate corporate governance and intellectual property management matters
  • Direct, monitor and supervise outside corporate counsel
  • Assist with employment counseling, litigation, and other legal matters as needed
  • Develop legal forms, templates, guidelines, and resource materials for legal department

Requirements

  • Minimum of 2+ years of law firm or in-house experience post bar admission
  • Juris Doctor degree and member in good standing in applicable state Bar (preferred)
  • In-depth knowledge of corporate commercial transactions, contracts, software licensing, equipment leasing/financing agreements, and M&A transactions
  • Ability to manage a high volume of varied projects
  • Strong judgment, decision making, analysis and problem-solving skills
  • Strong planning, organizational and negotiating skills
  • Excellent interpersonal, verbal and written communication skills
  • Ability to cultivate and develop lasting internal and external customer relations
  • Ability to manage outside counsel costs
  • Knowledge of federal securities law analysis, technology agreements, data security and privacy, employment counseling and litigation matters
