About the role

  • Support corporate and securities filings, such as proxy statements, section 16 filings, quarterly reports, and annual reports.
  • Assist with the formation and maintenance of corporate entities, both domestic and international, including drafting and filing articles of incorporation, bylaws, certificates, annual reports, foreign qualifications, assumed names, and other documents.
  • Maintain and manage a corporate entity information database for all corporate records, including all corporate governance documents.
  • Support all aspects of strategic transactions, including due diligence, document preparation, closing mechanics and post-closing administration.
  • Maintain minutes, board books and other corporate records.
  • Support administration of the company’s equity incentive programs, including management of employee and offering documentation and relevant regulatory compliance matters related thereto.
  • Build cross-functional relationships throughout Braze and partner with various departments, such as tax, finance, equity management, marketing, investor relations, litigation, people team, and corporate development.
  • Assist the legal team with project management, research, fact gathering, drafting, proofreading, presentation preparation, and analysis.
  • Assist with litigation, investigation, and employment matters, including preparing litigation hold notices, managing discovery and document collection, analyzing documentation relevant to internal investigations, updating templates and checklists, and monitoring changes in employment laws.
  • Manage relationships and coordinate work product with outside service providers and outside legal counsel, as needed, to support the legal team.
  • Partner with chiefs of staff and other key stakeholders to support our board of directors.
  • Prioritize appropriately and keep multiple teams and projects on track simultaneously.
  • Proactively initiate and complete workstreams independently.
  • Handle other duties as may be assigned from time to time.

Requirements

  • 5+ years of paralegal experience (either in a law firm and/or in house) supporting corporate functions.
  • A bachelor’s degree and paralegal certificate (or state required equivalent).
  • Excellent drafting, communication, proofreading, and research skills.
  • Exceptionally organized, efficient and detail-oriented with ability to prioritize and manage multiple projects and team priorities concurrently.
  • Manage relationships and lead projects with outside vendors and consultants, such as Nasdaq, Broadridge, CSC, company auditors, and legal counsel.
  • Experience driving projects from conception to completion.
  • Proficiency in Adobe Acrobat, BoardVantage, DocuSign and Workiva.
  • Sound judgment with the knowledge to resolve complicated matters while maintaining integrity and confidentiality.
  • Excellent interpersonal skills with demonstrated ability to facilitate collaborative solutions.
