About the role
- Lead Complex Negotiations: Independently lead and manage all phases of the negotiation process for high-stakes software, SaaS, and professional services agreements, including initial strategy development, negotiation, drafting and redlining of terms, and final execution.
- Strategic Advisory: Serve as a Procurement subject matter expert and trusted advisor to business units, legal, and finance teams. Provide strategic guidance on negotiation strategy, risk mitigation, and acceptable fallback positions to support business goals.
- Contract Review and Analysis: Conduct thorough analysis of contract terms and conditions, identifying potential risks, legal exposures, and non-compliance issues. Ensure all agreements align with company policies, legal standards, and industry best practices.
- Stakeholder Collaboration: Build strong, collaborative relationships with internal stakeholders, including Engineering, IT, Sales, Marketing, Finance, and Legal, to ensure a comprehensive understanding of business needs and to secure internal alignment on negotiation terms.
- Risk Management: Proactively identify and resolve contractual ambiguities and potential disputes before execution. Develop and implement risk mitigation strategies to protect the company's interests.
- Process Improvement: Contribute to the continuous improvement of contract templates, negotiation playbooks, and best practices. Mentor and train junior team members on effective negotiation techniques and contract management.
- Maintain Records: Accurately track and maintain detailed records of negotiation activities, savings, redlines, and final agreements within a Contract Lifecycle Management (CLM) system.
Requirements
- Bachelor's degree in Business, Finance, Law, or a related field or experience.
- 7-10 years of experience in contract negotiation, with a significant focus on software licensing, SaaS agreements, and professional services.
- Proven track record of successfully leading and closing complex, high-value deals.
- Deep knowledge of commercial contract structures, legal terminology, and intellectual property clauses common in technology agreements.
- Strong understanding of pricing models, service level agreements (SLAs), indemnity clauses, general contractual terms, and data privacy regulations.
- Exceptional written and verbal communication skills, with the ability to articulate complex legal and commercial concepts clearly and concisely.
- Superior analytical and problem-solving abilities to assess risk, analyze data, and develop creative solutions.
- Experience working in a fast-paced technology company or global enterprise (preferred).
- Certifications in contract management or negotiation (e.g., Certified Commercial Contracts Manager - CCCM) (preferred).
- Experience with a Contract Lifecycle Management (CLM) platform (e.g., Coupa, CLM, Icertis, Ironclad) (preferred).
- Ability to manage multiple projects and priorities in a dynamic, deadline-driven environment.
