About the role
- Manage and negotiate mergers and acquisitions, divestitures, joint ventures, strategic investments, venture capital transactions, and other capital and enterprise transactions
- Provide solid legal advice to partners and stakeholders to ensure flawless delivery
- Act as a trusted advisor through the transaction process regarding structuring and transaction terms
- Execute transactions to ensure compliance with applicable laws and desired business outcomes
- Oversee legal due diligence and advise the business on practices and processes for deal-related activity
- Review and negotiate transaction documents, including preliminary documentation and definitive, principal agreements
- Assist in portfolio management and strategic investments and venture capital transactions
- Manage external legal counsel as required and coordinate legal activities
Requirements
- Have a Juris Doctor certification and be licensed to practice law in a state or territory of the U.S.
- Demonstrate expertise gained from large law firm experience in mergers and acquisitions and private equity or venture capital investing
- Excellent verbal and written communication skills and ability to communicate effectively with internal clients and leadership
- Be a motivated self-starter that promotes teamwork and collaboration in a cross-functional environment
- Experience leading and negotiating complex mergers and acquisitions and other strategic transactions
- Direct experience leading and negotiating venture capital transactions, including familiarity with market terms
- Experience working with and advising start-ups or incubations
- Be able to travel nationally and internationally
