About the role
- Advise senior management and the Board of Directors on corporate governance, SEC reporting, compliance
- Prepare for meetings of the Verizon Board of Directors and its committees
- Draft Proxy Statement and manage shareholder proposal process
- Prepare and review SEC filings
- Provide advice on subsidiary management and corporate recordkeeping
- Monitor compliance with governance-related requirements
- Advise on public company disclosure matters and best practices
- Monitor emerging trends and regulatory changes
Requirements
- J.D. or LLM degree and 6+ years of experience
- Bar membership in good standing in at least one state
- 5+ years of capital markets or public company advisory experience in-house or at a top tier law firm
- Strong technical and practical knowledge of federal securities laws, stock exchange listing rules and public company market practices
