Senior Manager, Senior Counsel – US Commercial & Product

• Provide legal advice to internal stakeholders who originate and underwrite public and private debt securities issuances (investment grade and high yield debt).
• Review, draft, and negotiate transaction documentation on a wide variety of capital markets transactions including public offerings, 144A/Reg S transactions, private placements and liability management transactions.
• Work closely with the front office to support the real-time execution of capital markets transactions.

• Manage a litigation docket consisting of insurance coverage matters involving property and specialty lines policies issued to commercial insureds in the United States and abroad
• Oversee and partner with outside counsel to ensure high‑quality written advocacy and consistent litigation positions on behalf of AIG member insurance companies
• Exercise sound legal judgment in making strategic litigation decisions with a focus on consistency, risk, and broader business impact
• Develop and execute case‑specific resolution strategies and provide well‑reasoned recommendations
• Evaluate and make recommendations regarding the initiation of coverage litigation on behalf of AIG member insurance companies
• Serve as a strategic legal advisor to business and Claims partners, including by providing coverage advice in advance of litigation

Assistant General Counsel, Coverage Litigation

• Provide expert advice on a range of capital markets transactions in jurisdictions around the globe, including debt financings, loan origination partnerships, forward flows, stablecoin and crypto denominated facilities and other asset-based financings
• Draft, review, and negotiate a wide range of legal documents, including commercial contracts
• Assist with corporate governance matters, board management, and ensure compliance with all corporate foundational documents
• Provide counsel and assistance with equity management (e.g. administration of cap table and employee options)
• Serve as a key legal advisor on major business transactions, including fundraising rounds and joint ventures
• Oversee due diligence processes and provide guidance on legal implications of business decisions
