General Counsel

• Drafting and reviewing corporate documentation, including board minutes, shareholders’ resolutions, memoranda and articles of association, internal policies, and other corporate records;
• Preparing and filing statutory corporate documentation with the relevant authorities, including the Malta Business Registry (MBR) and other competent regulatory bodies, while anticipating and managing all procedural requirements necessary for successful filings;
• Maintaining and updating statutory registers, corporate records, group structure charts, and internal corporate governance and control schedules;
• Providing legal support in corporate reorganisations, mergers, demergers, acquisitions, and internal restructurings;
• Managing and overseeing corporate portfolios of domestic and international clients, ensuring ongoing compliance with statutory and regulatory requirements;
• Drafting, reviewing and negotiating commercial agreements, including Software-as-a-Service (SaaS) agreements, software licensing agreements, vendor and service provider agreements, and related commercial documentation;
• Supporting the definition and review of vendor scope of services, service level arrangements, and contractual risk allocation;
• Assisting with KYB/KYC processes, including the review of corporate documentation, identification of beneficial ownership structures, and support for onboarding procedures in line with applicable compliance and regulatory requirements.

• Establish the GRC Roadmap: Assess our current environment, identify gaps, and design a clear, actionable GRC roadmap aligned with our business goals.
• Act as a Business Enabler: Eradicate the "security as a blocker" mentality.
• Lead Framework Implementation: Take full responsibility for managing and maturing our ISO 27001:2022 certification.
• Drive Risk Management: Autonomously select and implement the most appropriate risk management frameworks.
• Design Business-Aligned Governance: Design, write, and enforce information security policies and standards.
• Champion Security Culture: Own and evolve our security awareness program.
• Lead Audits & Compliance: Take the helm on all internal and external security-focused audits, assessments, and reviews.
