About the role

  • Report directly to the General Counsel
  • Prepare, manage and oversee the company’s SEC filings
  • Provide support to the Board of Directors and its Committees on public disclosures and corporate governance
  • Draft and file the company’s annual proxy statement
  • Ensure compliance with SEC and NASDAQ rules and regulations
  • Provide legal support on executive compensation and equity plan administration
  • Legal support to the Corporate Secretary for Board of Director meeting materials
  • Collaborate on external communications such as earnings releases and press releases
  • Support maintenance of the Company’s subsidiaries and corporate transactions
  • Act as a key business partner and advisor to the company’s executive team

Requirements

  • Juris Doctor degree from an accredited law school
  • At least 5 years’ practice with an established law firm
  • At least 10 years’ experience as a deputy general counsel or a similar role at a public company
  • Must be admitted, active and in good standing with the State of California
  • Highly analytical with exceptional business and legal issue identification and problem-solving skills.
  • Practical, business-oriented approach to problem-solving; able to counsel internal clients with clear and pragmatic advice
  • Ability to operate autonomously while being a team player who brings a positive attitude to the workplace
