About the role
- Report directly to the General Counsel
- Prepare, manage and oversee the company’s SEC filings
- Provide support to the Board of Directors and its Committees on public disclosures and corporate governance
- Draft and file the company’s annual proxy statement
- Ensure compliance with SEC and NASDAQ rules and regulations
- Provide legal support on executive compensation and equity plan administration
- Legal support to the Corporate Secretary for Board of Director meeting materials
- Collaborate on external communications such as earnings releases and press releases
- Support maintenance of the Company’s subsidiaries and corporate transactions
- Act as a key business partner and advisor to the company’s executive team
Requirements
- Juris Doctor degree from an accredited law school
- At least 5 years’ practice with an established law firm
- At least 10 years’ experience as a deputy general counsel or a similar role at a public company
- Must be admitted, active and in good standing with the State of California
- Highly analytical with exceptional business and legal issue identification and problem-solving skills.
- Practical, business-oriented approach to problem-solving; able to counsel internal clients with clear and pragmatic advice
- Ability to operate autonomously while being a team player who brings a positive attitude to the workplace
