About the role
- Assist the General Counsel in the review and markup of the firm's engagement letters.
- Prepare and maintain engagement letter fallback forms and precedent.
- Support the General Counsel in advising deal teams on public transactions, including review of proxy disclosure drafts and preparation of relationship disclosure letters.
- Help monitor the status of active mandates to coordinate across Operations and banking teams.
- Partner with the General Counsel to shape the firm's approach to AI — evaluating emerging tools, advising on responsible implementation, and ensuring the firm's policies and practices keep pace with a rapidly evolving landscape.
- Serve as a knowledgeable internal resource on the legal and reputational considerations that accompany AI adoption in a high-stakes financial services environment.
- Support short- and long-term legal department needs as they arise.
- Research and assist the banking team on developments in the M&A legal landscape, including updates on case law, antitrust developments, and related regulatory matters.
Requirements
- J.D. from an accredited law school and admission to the State Bar of California.
- 5–7 years of experience at a leading law firm, preferably in M&A or M&A litigation.
- Strong drafting, analytical, and communication skills; comfortable working closely with a small, high-performing team.
