General Counsel

• Structure, negotiate, draft and review various commercial agreements with customers, suppliers and other third parties, including equipment procurement, EPC, O&M, lease, power purchase agreements
• Support negotiations, drafting and critical review of real estate documents, including lease option and purchase option agreements, leases, easements, shared facilities agreements, crossing agreements, and mineral rights waivers or shared use agreements.
• Manage local counsel and title insurers in connection with real estate transactions
• Coordinate with project development team to ensure project development agreements are financeable
• Advise project teams regarding critical risk issues in negotiations with various project stakeholders (e.g., landowners, regulatory agencies, governmental authorities, title companies, service providers, suppliers, etc.)
• Assist with financing and M&A transactions
• Manage outside counsel
• Assist with maintenance of contract database, including improving standard form agreements, where applicable
• Coordinate efforts with other corporate legal and senior management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management
• Identify critical project risk issues and make recommendations
• Cross-team collaboration and coordination of legal workload with colleagues. Work as a team and as an effective manager of resources, both internal and external

Real Estate and Development Counsel

• Draft, negotiate and close complex project agreements including leases, power purchase agreements, equipment procurement and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, and filings/applications to local, state, and federal agencies (including FERC)
• Coordinate with commercial teams to ensure project agreements are financeable
• Perform diligence activities related to closing transactions, including responding to inquiries from lenders and financing parties
• Review, negotiate and close MIPAs, debt and tax equity agreements
• Advise and counsel capital markets and finance teams on risks associated with financing and M&A transactions and develop mitigation strategies
• Manage corporate approvals and disclosures, including drafting resolutions, operating agreements, and affiliate agreements, and coordinating with executive and board stakeholders for approvals
• Advise on the implementation and impact of federal legislation on project finance transactions
• Manage pre-litigation risks, and if litigation arises, develop litigation strategies to resolve disputes
• Manage outside counsel to ensure efficient and effective completion of tasks
• Partner with corporate legal and senior management to align on project requirements, maximize value, and manage risk
• Assist with maintenance of contract database

Senior Counsel – Distributed Generation

Manager

• Plans, directs and coordinates activities at the project site
• Oversees construction contractor(s) as the Owner’s representative
• Works with the estimator and project manager regarding subcontracts, project scheduling, change orders, etc.
• Communicates effectively with general contractors and subcontractors
• Reviews specifications and drawings, executes site QA/QC activities
• Implements and maintains safety programs at the jobsite
