Provide expertise and superior guidance on legal support and services in matters of complexity, sensitivity, and significant financial impact
Serve as expert with in-depth legal knowledge in a specialized area and lead legal projects
Lead legal matters related to integrated resource and generation planning, rate making and rate case, or contested matters in relation to FERC
Represent company interests in formal and informal legal proceedings (federal, state, local judicial, or dispute resolution processes)
Research legal principles and precedents and consult with outside counsel to provide guidance and recommendations
Create and execute legal documents; gather relevant information from multiple sources
Represent and advocate for the company in litigation, arbitration, mediation or other disputes
Provide expert support across business unit activities ensuring legal issues, contracts, disputes, and complex transactions comply with legal and regulatory frameworks
Guide leaders to ensure business units operate in accordance with regulatory, commercial and employment laws, including formation and regulation of corporations and legal entities
Structure and negotiate complex financial transactions including private placements, private equity, derivatives, and alternative products
Lead structural and corporate issues for acquisitions, divestitures, strategic alliances, leveraged buyouts, re-capitalization, spin-offs and tender offers
Conduct due diligence and develop integrated revenue/expense analysis, projections, and reports
Provide legal advice regarding regulatory issues, working with compliance and advising on strategic regulatory and legislative matters

Requirements
Graduate of accredited law school and admitted to the bar in employee’s state of residence
15 years of experience as licensed attorney in areas including commercial transactions, mergers and acquisitions, federal and state regulatory law (energy), environmental, litigation, corporate finance and/or governance, and labor and employment law
Inclusive of 5 years of direct, consistent state or federal regulatory practice before FERC or a state PUC
Experience handling at least one of: integrated resource/generation planning, rate making/rate case, contested matters before FERC, or acquisition/construction of generation assets
Experience personally handling at least one of: build/transfer agreements, purchase power agreements, acquisitions of generation projects or fleet
Exceptional verbal, written and presentation communication skills
Proficient with computers and office software applications (e.g., Word, Excel)
Advanced analytic and problem-solving skills
Ability to work in a team and/or matrix structure supporting multiple clients
Ability to cope with multiple demands and display calm demeanor under pressure
Competent with prioritizing and managing multiple tasks, including high-visibility initiatives
Initiates new ideas and approaches; challenges orthodox practices with sound alternatives
Must be available to perform a primary assignment in support of DTE’s emergency response to storms or other events that impact service to our customers
