About the role
- Join DLA Piper’s Professional Track Attorney program focusing on emerging growth companies and institutional investors
- Support venture capital financings, M&A transactions, and day-to-day corporate governance matters
- Negotiate and manage preferred stock financings, bridge financings, and SAFE financings
- Manage due diligence on M&A transactions and venture financings
- Advise clients on corporate governance and related matters
- Supervise junior lawyers and staff and foster positive work relationships
- Communicate with clients, lawyers, business professionals, and third parties; produce deliverables and respond to correspondence
- Meet deadlines, perform legal research, and provide timely, accurate, quality work product
- Travel as required for client meetings; participate in virtual conference calls and meetings
- Comply with firm policies and engage in both physical and sedentary activity as required
Requirements
- JD
- Admitted to practice in the jurisdiction in which you are applying (bar admission)
- 5-8 years of Emerging Growth/Venture Capital experience (preferred minimum 5 years)
- Direct and applicable AmLaw 100 law firm experience preferred
- Familiarity with standard emerging growth and venture capital forms, including NVCA, seriesseed.com and Y Combinator
- Experience negotiating and managing preferred stock financings, bridge financings, and SAFE financings
- Ability to manage due diligence on M&A transactions and venture financings
- Advises clients on various corporate governance matters
- Strong analytical and writing skills
