Support corporate transactions, including M&A, through all stages of the transaction lifecycle from term sheets through diligence, negotiation, signing, closing, and post-closing work streams
Coordinate and collaborate closely with corporate development, finance, tax, HR and other cross-functional teams
Provide strategic legal advice to business leaders and internal stakeholders and propose business-oriented solutions
Effectively manage outside counsel to facilitate practical and effective legal support during transactions
Contribute to the development of internal legal processes and best practices for M&A transactions
Assist on various other corporate legal matters as needed, including SEC filings and corporate governance matters
Requirements
J.D. and bar admitted
4-6 years of meaningful M&A experience at a top-tier law firm and/or in-house at a public company
Proficiency in counseling on complex corporate transactions and fluency in common M&A concepts
Excellent judgment, integrity, and communication skills
Strong project management skills; comfort juggling multiple matters and priorities
Ability to work varying hours to accommodate global workforce, as needed
Proactive and collaborative team player who welcomes responsibility and thrives in a fast-paced environment
Experience managing outside counsel (preferred)
Experience counseling high growth private and public technology companies (bonus)
Experience working on cross-border strategic transactions (bonus)
