About the role

  • Regional General Counsel for North America with regional accountability for legal and regulatory compliance
  • Provide extensive legal advice and guidance to local teams and the regional Board of Directors
  • Act as central point of contact for all regional legal matters and liaise with global centres of expertise
  • Lead implementation of CDP's regional legal strategy and enable operational effectiveness of global legal function
  • Draft, negotiate and support grant, service agreement, sponsorship and philanthropic arrangements
  • Prepare and deliver handbooks and training on grant arrangements and inter-group sub-grants
  • Collaborate on innovation, change and ecosystem partnerships to mitigate legal risks for funding and projects
  • Manage litigation and dispute resolution processes within the region and advise on courses of action
  • Lead on corporate/charitable governance for entities in the region (US 501(c)(3)) and support Company Secretariat
  • Ensure regional compliance with data privacy and local statutory rules
  • Engage and manage external legal counsel when specialist advice is required
  • Manage regional allocation of Directorate budget and contribute to global legal projects

Requirements

  • J.D. degree from an accredited law school
  • Active membership of the New York bar
  • 5-10 years' experience (minimum 5 years) in legal roles
  • Experience advising charities/not-for-profits and supporting Trustees/Boards
  • Excellent knowledge of contractual/commercial law, litigation, IP, data privacy and regulatory compliance
  • Strong experience presenting to Trustees, Boards, Committees and senior leadership
  • Experience of company secretarial/governance work or overseeing this responsibility
  • Ability to provide legal advice to regional stakeholders and influence decision making
  • Excellent communication and relationship management skills
  • Excellent judgement, integrity, and dispute resolution ability
  • Organised, methodical, able to manage competing priorities and deliver work independently
  • Proactive, solution-oriented commercial/legal problem solving
  • Strong interpersonal, project management and communication skills
