About the role

  • Maintain corporate records and entity databases for U.S. and international subsidiaries
  • Prepare and file annual reports, board resolutions, meeting minutes, and other corporate documentation
  • Coordinate formation, dissolution, and restructuring of legal entities as needed
  • Monitor corporate compliance deadlines and ensure timely filings with relevant authorities
  • Assist in preparation and maintenance of corporate governance policies and internal procedures
  • Maintain and update the organizational charts using appropriate tools and platforms
  • Manage and maintain active engineering, contractor, and business licenses across states
  • Track renewal dates and coordinate timely submissions to avoid lapses
  • Liaise with regulatory agencies, licensing boards, and internal departments to ensure compliance
  • Assist with applications for new licenses as business expands into new jurisdictions
  • Coordinate with internal legal counsel and external legal advisors as necessary
  • Support legal team in other administrative or compliance-related tasks, including document management and audits
  • Coordinate with key internal stakeholders across departments—including Tax, Treasury, and Sales—as needed to ensure alignment and support

Requirements

  • Paralegal certificate or equivalent legal training required
  • Minimum 5 years of experience in a corporate legal department or law firm, with a focus on corporate governance and corporate licensing
  • Familiarity with the engineering and construction industry is strongly preferred
  • Strong understanding of corporate entity structures and multi-jurisdictional compliance
  • Exceptional attention to detail, organization, and time management skills
  • Proficient in Microsoft Office Suite and legal entity management software (e.g., hCue, CSC, or similar)
  • Minimum Qualifications Paralegal certificate or Associate degree required
  • 8+ years senior-level paralegal experience
  • Expertise in contract negotiation, governance, and compliance
  • Ability to lead large-scale legal operations projects
