About the role
- Maintain corporate records and entity databases for U.S. and international subsidiaries
- Prepare and file annual reports, board resolutions, meeting minutes, and other corporate documentation
- Coordinate formation, dissolution, and restructuring of legal entities as needed
- Monitor corporate compliance deadlines and ensure timely filings with relevant authorities
- Assist in preparation and maintenance of corporate governance policies and internal procedures
- Maintain and update the organizational charts using appropriate tools and platforms
- Manage and maintain active engineering, contractor, and business licenses across states
- Track renewal dates and coordinate timely submissions to avoid lapses
- Liaise with regulatory agencies, licensing boards, and internal departments to ensure compliance
- Assist with applications for new licenses as business expands into new jurisdictions
- Coordinate with internal legal counsel and external legal advisors as necessary
- Support legal team in other administrative or compliance-related tasks, including document management and audits
- Coordinate with key internal stakeholders across departments—including Tax, Treasury, and Sales—as needed to ensure alignment and support
Requirements
- Paralegal certificate or equivalent legal training required
- Minimum 5 years of experience in a corporate legal department or law firm, with a focus on corporate governance and corporate licensing
- Familiarity with the engineering and construction industry is strongly preferred
- Strong understanding of corporate entity structures and multi-jurisdictional compliance
- Exceptional attention to detail, organization, and time management skills
- Proficient in Microsoft Office Suite and legal entity management software (e.g., hCue, CSC, or similar)
- Minimum Qualifications Paralegal certificate or Associate degree required
- 8+ years senior-level paralegal experience
- Expertise in contract negotiation, governance, and compliance
- Ability to lead large-scale legal operations projects
