General Counsel

• Contribute to the mission through providing legal, healthcare regulatory and compliance guidance across the Company’s product lifecycle
• Ensure adherence to applicable laws while partnering with marketing, sales, medical strategy, medical education, reimbursement, regulatory, clinical publications and other business teams as requested to manage risk and embed compliance from design to launch

Director, Senior Corporate Counsel

• Own commercial contracting. Draft, review, redline, negotiate, and close client, agency, and customized agreements, including MSAs, SOWs, order forms that focus on Saas and digital-credit and usage-based arrangements, NDAs, and amendments.
• Lead client-side legal negotiations with speed. Take ownership of legal terms once commercial terms are set; respond and turn drafts quickly, negotiate directly with client legal, procurement, privacy, and security teams, and maintain momentum through execution. Provide business stakeholders with concise status updates, clearly framed risks, and the specific decisions needed to close.
• Manage vendor and consulting agreements. Review and negotiate inbound SaaS, technology, data, professional-services, contractor, and consulting agreements, balancing operational needs, speed, cost, and risk.
• Apply commercially calibrated risk judgment. Negotiate and provide practical guidance on liability caps, indemnities, warranties, intellectual property and content rights, confidentiality, data use, security, privacy, insurance, payment, termination, and dispute provisions. Understand which protections are essential, where Statusphere can responsibly accept risk, and when an issue requires executive or outside-counsel escalation.
• Own website and product legal content. Maintain and periodically update website Terms & Conditions, Privacy Policy, cookie and consent language, and other customer- or user-facing legal notices in coordination with Product, Marketing, Security, and outside specialists.
• Own Creator-Statusphere and Brand-Creator Agreements. Signed for each campaign and brands may have specific versions of this to deploy which must be monitored and auditable.
• Provide operational legal guidance. Answer day-to-day questions involving payments, contracting authority, creator relationships, content and usage rights, compliance, business processes, and other legal issues arising across the company.
• Build scalable legal operations. Create and maintain templates, clause libraries, negotiation playbooks, approval thresholds, fallback positions, intake processes, signature workflows, and a contract repository that improve speed and consistency.
• Advise executives and manage escalation. Present the COO/CFO and other C-level leaders with a concise assessment of the issue, business impact, likelihood and severity of risk, available options, and a clear recommended path. Prioritize matters by business impact and coordinate outside counsel for specialized, jurisdiction-specific, or high-risk matters.
• Partner cross-functionally and learn the business. Build a strong working understanding of Statusphere’s customers, creator ecosystem, products, revenue model, deal economics, and operating workflows. Work closely with Sales and other teams to remove deal blockers, support accurate handoffs, and ensure contractual commitments are understood, documented, and operationally achievable.

In-House Commercial Counsel

• The Drug/Alcohol Abuse Counselor provides essential clinical support services at the Collbran Job Corps Center.
• Assist financially disadvantaged youth (typically ages 16 to 24) in a residential setting through early detection, diagnosis, and prevention/education regarding substance misuse and abuse.
• Ensure students become responsible, productive citizens by addressing substance use barriers to employability.

Substance Abuse Treatment Counselor

• Conduct substance misuse and abuse assessments for applicants and new students (utilizing Social Intake Forms and Health History Forms) and respond to written referrals.
• Provide short-term or brief interventions, crisis intervention for emergencies, and referrals for long-term therapy.
• Monitor students with chronic substance conditions, participate in chronic care management plans, and collaborate with the Center Mental Health Counselor (CMHC) on co-occurring conditions.
• Maintain and safeguard all student health records (SHR) in compliance with HIPAA; document every student interaction in a timely manner using systems such as the Center Information System (CIS).
• Conduct a minimum of one-hour prevention presentations for all new students and at least three annual center-wide prevention and education activities.
• Coordinate with the Center Physician and Health & Wellness Director (HWD) regarding medication management; collaborate with departments like residential, recreation, and education to integrate promotion services.
• Submit monthly status reports to the HWD and report adverse student behavior incidents in a timely manner.

• Own negotiation and execution of commercial SaaS agreements — including MSAs, subscription agreements, DPAs, and NDAs — while enabling the business to move quickly within defined guardrails.
• Enforce company positions on non-standard terms and manage escalation paths, improving time-to-signature without increasing legal or commercial risk.
• Train and enable Sales to handle routine negotiations independently, reducing legal bottlenecks at scale.
• Lead the end-to-end contracting function for all customer and vendor agreements, building a scalable, AI-enabled operation that reduces manual work and accelerates deal cycles.
• Implement and manage a Contract Lifecycle Management (CLM) system, including templates, negotiation playbooks, approval workflows, and delegation of authority controls.
• Leverage AI-driven legal tools for contract review, risk flagging, and workflow automation — actively identifying opportunities to reduce outside counsel reliance over time.
• Own vendor contracting and procurement legal processes, maintaining a contract repository with proactive tracking of key terms and obligations.

• Assist development attorneys with M&A and due diligence activities and project development matters, including permitting, interconnection, environmental compliance, and stakeholder relations for renewable energy and battery storage projects.
• Work alongside project counsel to support the construction phase of energy projects, including drafting and negotiating EPC contracts, managing project-level legal issues that arise during construction, and supporting late state project financing.
• Collaborate with commercial attorneys on power purchase agreements (PPAs), energy storage agreements, hedging arrangements, and other commercial contracts.

• Serve as a strategic business partner and advisor to the Sports Medicine Business Unit.

• Counsel internal stakeholders on FAR and DFARS requirements related to cost principles, pricing, and accounting treatment.
• Support the development, update, and implementation of internal policies and controls to mitigate accounting and pricing compliance risks.
• Lead or support internal reviews, compliance assessments, audits, and responses to government inquiries.
• Partner with Finance, Accounting, Compliance, and Contracts teams to ensure consistent application of federal cost accounting rules across business units and entities.

Director, Legal – Government Compliance Counsel

• Provide legal support to investment professionals across the Americas on critical matters and across all of Partners Group's asset classes
• Review and discuss the advice of external counsel where required
• Ensure adherence to Partners Group standards and processes
• Provide internal legal assessments (e.g., conflicts of interests, opinions) to ensure regulatory compliance and adherence with internal policies

• Draft and submit regulatory filings, advice letters, and compliance attestations to state agencies; track and manage agency review, approval, and disposition.
• Advise on revenue contract and RFP provisions with regulatory implications, including background check requirements, reporting obligations, and driver and vehicle standards.
• Advise internal stakeholders on regulatory requirements for new market entry and ongoing compliance obligations in existing markets.
