About the role

  • Collaborate with executives and partners in Finance, Accounting, Investor Relations, and teams across Yelp to draft clear and accurate public disclosures
  • Help shape Board and committee agendas and take part in committee meetings
  • Draft, update, and maintain corporate governance policies
  • Team up with Investor Relations and Public Relations on shareholder communications
  • Streamline and improve processes to ensure timely, efficient public company reporting
  • Lead the legal side of M&A transactions and negotiate deal documents
  • Support our stock administration team with equity plans, trading windows, 10b5-1 plans, and related matters
  • Stay on top of changes in the legal landscape, flag risks, and recommend practical solutions
  • Work closely with outside counsel on a range of high-impact matters

Requirements

  • Juris Doctor (JD) and active state bar membership in good standing
  • 4+ years of corporate legal experience with a focus on public company securities law and SEC reporting
  • Deep understanding of SEC rules, regulations, and forms
  • In-house experience is a plus
  • M&A experience is a plus
  • Strong work ethic, sound judgment, and a team-first mentality
  • Proven success working cross-functionally with a wide range of teams
  • Excellent legal and business judgment, with a creative approach to problem-solving
  • Outstanding written and verbal communication skills, with a keen eye for detail and organization
