About the role
- Provide legal advice and guidance across a broad range of corporate and commercial matters affecting the business.
- Draft, review and negotiate a variety of commercial agreements, including master services agreements, SaaS agreements, consulting agreements, vendor and marketing agreements, data and IP licensing agreements, NDAs and strategic collaboration agreements.
- Support corporate transactions, including mergers, acquisitions, strategic investments, financings and related documentation and due diligence activities.
- Assist with public company and corporate governance matters, including board and committee materials, SEC reporting support and corporate recordkeeping.
- Conduct legal research and analysis to ensure compliance with applicable laws and regulations, including evolving and emerging legal frameworks such as data privacy, artificial intelligence and other emerging technologies.
- Collaborate closely with internal stakeholders across business, finance, compliance, technology and operations teams and across other legal teams within the business.
- Manage outside counsel on discrete matters and transactions as needed.
- Contribute to the development and improvement of internal legal processes, templates and policies to support scalability and efficiency.
Requirements
- J.D. from an accredited law school.
- Admitted to practice law in New York and in good standing.
- 5+ years of corporate legal experience, including significant law firm experience; in-house experience preferred but not required.
- Strong experience drafting and negotiating commercial agreements with the ability to manage matters independently.
- Solid understanding of general corporate, transactional and regulatory matters.
- Ability to manage multiple matters simultaneously in a fast-paced environment.
- Keen interest in learning other areas of law and having an opportunity to work on many different types of legal matters and business initiatives.
- Excellent written and oral communication skills with strong attention to detail and analytical rigor.
- Business-minded approach with the ability to identify practical legal solutions.
