Report directly to the Chief Executive Officer and provide comprehensive legal counsel to CEO, VP Finance, VP Operations, board of directors, and senior leaders
Spearhead corporate legal strategy, regulatory and risk compliance programs, and oversee all legal and regulatory affairs
Oversee domestic and international transactions and influence organizational strategy
Provide expert legal advice or coordinate with external counsel across government and regulatory environment, data privacy, intellectual property, corporate administration, finance, treasury, HR, and stock incentives
Ensure adherence to regulatory requirements, including SEC reporting, export controls, government contracting, FCPA, FAA, and other agencies
Prepare, review, and advise on legal documents, contracts, disputes, and complex transactions with appropriate due diligence
Provide expertise and guidance on corporate governance policies and procedures
Create and execute risk management policies and procedures
Draft, negotiate, review, and finalize agreements
Develop and implement intellectual property protection strategies
Lead and manage legal team and outside counsel; support special projects as assigned
Requirements
Degree from an ABA-approved law school
Active member in good standing of the state bar of Texas
Minimum seven (7) years securities/corporate law/government experience at a major law firm and/or as an in-house Legal Counsel
Successful track record managing attorneys and outside counsel
A minimum of 2 years of experience in the aerospace, defense, or other similar technical and manufacturing industries
Broad legal knowledge of mergers and acquisitions, commercial transactions, government contracts, regulatory compliance, litigation, and intellectual property
Appreciation of how legal issues affect organizations
Ability to develop legal strategy and objectives and negotiate effectively
Strong leadership, communication and client management skills
Ability to thrive in a fast-paced and rapidly changing environment
Ability to work independently and with cross-functional clients
Excellent judgement and analytical skills
High degree of professional ethics and integrity
Security clearance or ability to obtain one
