Manage the preparation and filing of all periodic reports, including Forms 10-K, 10-Q, and 8-K.
Oversee the annual proxy statement and shareholder meeting processes.
Provide legal support for Board and Committee meetings, including drafting agendas, resolutions, and minutes.
Advise on best practices for Board processes and corporate policies.
Administer the company's insider trading policy, Section 16 reporting (Forms 3, 4, and 5), and Rule 10b5-1 trading plans.
Lead legal due diligence and document negotiation for M&A and equity or debt financing transactions.
Partner with the IR and Communications teams to review earnings releases, investor presentations, and press releases for legal compliance.
Oversee the legal maintenance and governance of domestic and international subsidiaries.
Advise on legal issues related to stock plans, equity grant matters, and executive compensation disclosures.

Requirements

5+ years of relevant legal experience at a top-tier law firm and/or in-house legal department, with a strong focus on public company securities law.
Proven experience advising high-growth technology companies on '33 and '34 Act compliance and Nasdaq/NYSE listing requirements.
Strong deal management experience across M&A and financing transactions.
Familiarity with cloud infrastructure and AI concepts is beneficial but not required.
Business acumen and critical thinking with the ability to interact confidently with senior stakeholders and move quickly in a fast-paced environment.
Excellent communication and stakeholder management skills.
Can-do attitude and strong work ethic; no task is beneath you and no problem is unsolvable.
J.D. from an accredited law school and active bar admission in good standing.
