Position: Associate General Counsel — provide strategic business and legal support on commercial contracting, corporate governance, M&A, privacy, employment, and various other matters. Responsibilities: Draft, negotiate and manage a wide variety of commercial agreements; Partner with HR, Finance, IT and Tech/Product leaders; Assist in strategic transactions, including M&A and corporate finance transactions; Support General Counsel in preparing Board materials; Develop and maintain processes for efficient work; Assist in corporate formations and global entity management; Advise senior leadership on pragmatic ways to mitigate risk; Monitor legal and business developments; Assist on other legal matters as necessary.

Requirements

  • 5-10 years combined experience at a major law firm and/or in-house legal department. In-house experience at a high-growth tech company strongly preferred. Extensive experience drafting and negotiating commercial agreements; experience with SaaS, licensing, government contracts and partner/channel agreements is a major plus Experience with employment, benefits, equity and data privacy laws is a major plus Experience with corporate governance, strategic financing transactions and M&A, or a willingness to learn this area. Strong leadership and organizational skills with the ability to manage multiple projects and priorities simultaneously. Exceptional verbal and written communication skills in collaborating with management, corporate departments and all levels of employees. Exceptional business acumen, analytical ability, curiosity, integrity, and people skills.
