About the role
- Lead client-facing meetings, manage project timelines and deliverables, and oversee budget adherence
- Develop and analyze financial models to evaluate impact of transactions including bottom-up and top-down IT cost analysis (e.g., cost synergies, TSA replacement) across the P/L evaluating cost pools / vendors and develop one-time cost estimates
- Manage transaction one-time cost and business run-rate cost models and provide executive level readouts on all cost drivers
- Analyze key business applications (e.g., ERP, CRM, HRIS) with respect to business / industry requirements (e.g., capabilities, modules, pricing) and complete application dispositioning with input from application leaders
- Lead technology workstreams (business applications, infrastructure, cybersecurity, etc.) in a post-close engagement while working with a broader Integration/Separation team
- Support scoping, building, and pricing Transition Service Agreements (TSAs)
- Determine and document entanglements among people, process, technology, assets, and contracts between Parent (carveout) and NewCo
- Manage fast-paced technology due diligence engagements for private equity (PE) and strategic clients
- Produce high quality, value-driven diligence reports and experience participating with clients in meetings critical to closing the transaction (e.g., RWI, buyer calls (sell-side) …etc.)
Requirements
- Proven track record of success with operating in a professional services firm or large consultancy
- 6+ years of business process and/or IT experience working with external client facing teams on fast paced consulting engagements
- Experience working with private equity clients, leading and executing carve-out due diligence and post close carve-out execution on deals in the range of $100M to $1B in enterprise value
- 3-4 years leading complex operational/IT diligence projects and/or experience with execution of over 15-20 carve-out diligence projects across a broad range of industries
- Experience with building out/leveraging AI to drive efficiency in the due diligence process (MS Copilot, ChatGPT, Claude…etc.)
- Bachelors degree required, Masters degree preferred
- Successful track record of building and growing a transaction focused advisory service practice
- Experience with developing and supervising staff both on engagements and in developing their skills and career
- Demonstrated capability identifying and addressing client needs, including the development of sustained meaningful client relationships.
- Must possess a high degree of integrity and confidentiality
- Able to travel 50%, as necessary
