About the role

  • Drafting, filing and publication of corporate acts for joint-stock companies and limited liability companies;
  • Coordination of routine activities and regulatory obligations before CVM/B3 and SEC/NYSE;
  • Support in planning, feasibility analysis and execution of corporate transactions (merger, incorporation, spin-off, conversion, etc.);
  • Management of corporate compliance obligations for companies;
  • Coordination of due diligence and periodic reporting to auditors, in addition to responding to inquiries and providing support to other internal areas;
  • Support in advising Committees, the Board of Directors, the Executive Board and General Meetings: secretariat duties, document management, drafting minutes, management of the Governance portal, among other activities;
  • Interface with capital markets regulators and handling requests, including responses to emails and official communications from B3 and CVM, and monitoring Administrative Proceedings;
  • Support in preparing and reviewing periodic filings to CVM/B3 such as the Reference Form, Corporate Governance Report, Financial Statements/Quarterly Reports (DFs/ITRs), among others; and ad hoc CVM/B3 disclosures such as Material Facts, Market Communications and Notices to Shareholders, among others;
  • Coordination of powers of attorney for all group companies (drafting, review and maintenance of the register of powers and grantees);
  • Involvement in M&A and Financial Transactions projects (supporting transaction structuring, drafting and negotiating contracts, conducting audits, etc.);
  • Coordination of law firms and paralegals interacting directly with the department;
  • Monitoring and control of payments, budget, forecast, and variance explanations (actual vs. budgeted).

Requirements

  • Law degree with active registration with the Brazilian Bar Association (OAB);
  • Postgraduate degree/specialization in Corporate Law, Capital Markets or Business Law;
  • Intermediate/advanced proficiency in Microsoft Office;
  • Experience in Corporate Law within legal departments of publicly traded companies;
  • Advanced English.
