  • Reporting to the Associate Director of the Corporate Services team, the primary objective of this role is to be responsible for providing exceptional board support, secretarial services and other corporate governance related duties to varied client types, including corporate entities, financial institutions, investment funds, and private clients. ****This will be achieved through the effective management of a small but growing team of administrators and company secretaries, and to manage the more complex requirements of large clients' affairs, working closely with the Associate Director and other managers in the team to maintain and grow client relationships.******Key Responsibilities******Team Management:** Direct and oversee the company secretarial team, ensuring high levels of performance, compliance, and professional development. Foster a culture of excellence and continuous improvement within the team. Work with the Associate Director to strategically manage team resources to optimize efficiency, scalability, and service quality. Conduct regular assessments of team workload, skillsets, and resource allocation to ensure alignment with business objectives, client needs, and regulatory changes. Support the senior management team to implement forward-looking resource planning strategies, including hiring, training, and technology adoption, to enhance team capacity and capabilities**** **Governance and Compliance:** Ensure client companies comply with statutory and regulatory requirements, focusing on the administration of annual returns, maintenance of statutory books, and management of shareholder information. Adapt governance and compliance efforts to meet the specific needs of different client types**** **Board Support and Advisory:** Act as the primary point of contact for the board of directors, providing comprehensive support and guidance on corporate governance matters. Oversee the distribution of board packs, manage board meetings, and ensure precise minute-taking and follow-up on action items by team members**** **Corporate Policies and Procedures:** Develop, implement, and monitor team policies and procedures ensuring compliance with applicable laws and regulations. Collaborating closely with the law firm and across different jurisdictions offer advice on local corporate governance best practices and legislative updates, to assist to tailor governance frameworks to suit the diverse requirements of our client base******Stakeholder Engagement:** Maintain robust relationships with internal and external stakeholders, ensuring clear and effective communication regarding company secretarial matters, with a nuanced understanding of the unique expectations and requirements of different client types**** **Client Billing Oversight:** Oversee the client billing process, ensuring accuracy, transparency, and efficiency**** **Client Onboarding:** Manage the client onboarding process, ensuring a seamless and compliant introduction to Ogier services. Develop and maintain onboarding protocols that are tailored to meet the diverse needs of our client portfolio, emphasizing a positive first impression and long-term client satisfaction****

Requirements

  • - Bachelor’s degree in Law, Business Administration, or related field, with a professional qualification in company secretarial practice (e.g., ICSA)
  • - Extensive experience in relevant company secretarial roles, with experience of managing people
  • - Comprehensive understanding of corporate governance, Irish company law, and compliance frameworks, with the flexibility to apply this knowledge across different sectors
  • - Strong team management skills, capable of inspiring, mentoring, and developing a high-performing team. Strong focus on fostering a culture of continuous improvement and professional growth
  • - Superior organisational, analytical, and problem-solving abilities, with a keen eye for detail and the capacity to think strategically in the face of complex challenges.
  • - Outstanding communication and interpersonal skills, with the ability to effectively engage with and influence a broad range of stakeholders, including board members, regulatory bodies, clients, and team members
