About the role
- Support subsidiary governance, corporate filings, securities compliance, regulatory documentation, and strategic transactions
- Draft and maintain governance materials: board and committee resolutions, consents, agendas, organization charts, and minutes
- Prepare board and committee meeting materials; coordinate governance calendars and filing deadlines
- Coordinate annual shareholder meeting and proxy process; prepare D&O questionnaires, board evaluations, draft resolutions, and logistics
- Manage development and submission of proxy statement and related SEC filings; compile officer/director bios and beneficial ownership disclosures
- Oversee communications with proxy service providers, transfer agents, and regulatory entities
- Prepare shareholder meeting materials and coordinate vote tabulation and results reporting
- Coordinate and file Form 8-Ks and prepare/file SEC reports (Forms 3, 4, 5, 10-K, 10-Q, 8-K); monitor Section 16 compliance
- Maintain records of directors and officers in compliance with Nasdaq listing requirements
- Oversee lifecycle of U.S. and international subsidiaries: formation, restructuring, dissolution
- Prepare and file entity formation documents, DBAs, qualifications, annual reports, and certifications
- Coordinate execution, notarization, and legalization of global documents, including apostilles and certified copies
- Support M&A and financing transactions: due diligence, closing logistics, post-closing documentation
- Draft corporate documents: officer certificates, intercompany agreements, powers of attorney
- Maintain data rooms, track legal deliverables, and manage regulatory compliance
- Collaborate on audits, equity actions, and legal aspects of business initiatives
- Triage and manage corporate legal requests using LawVu; ensure workstream visibility and deadlines
- Manage legal platforms (BoardVantage, Traact, Workiva) and maintain accurate entity compliance data
- Generate reports on entity portfolio and legal metrics; leverage AI-enabled legal tools to streamline workflows
- Oversee registered agent relationships, legal invoicing, budget planning, vendor coordination, and maintain templates, SOPs, and trackers
Requirements
- 10+ years of corporate paralegal experience in a public company legal department
- Bachelor's degree or paralegal certificate from an ABA-approved program
- Strong knowledge of corporate governance, SEC compliance, and entity management
- Excellent communication skills and sound judgment in handling sensitive matters
- Preferred: Experience in a high-growth or technology-driven environment
- Preferred: Familiarity with Nasdaq governance standards and board operations
