About the role

  • Maintain the company’s legal structure, corporate records, board resolutions, and shareholder matters.
  • Ensure compliance with applicable laws and regulations (corporate, securities, environmental, privacy, employment, antitrust).
  • Draft, update, and enforce internal policies to meet legal obligations.
  • Advise on appropriate insurance coverage and manage claims.
  • Lead legal response during emergencies, including data breaches, service outages, SLA breaches, and on-site incidents.
  • Serve as trusted counsel to senior leadership, providing objective, practical legal advice.
  • Support Board of Directors meetings, agendas, and materials, advising on fiduciary duties.
  • Lead legal strategy for site and land acquisition, zoning, permitting, and entitlements.
  • Draft and negotiate purchase and sale agreements, ground leases, build-to-suit leases, easements, and joint venture agreements.
  • Oversee title reviews, boundary disputes, and environmental assessments.
  • Structure and negotiate hyperscale data center lease agreements, MSAs, and SLAs.
  • Ensure compliance with data privacy, cybersecurity, and operational risk standards.
  • Support customer onboarding and manage the contract lifecycle.
  • Advise on power procurement strategies, including PPAs, utility interconnection agreements, and take-or-pay provisions.
  • Evaluate and structure on-site generation projects (solar, battery storage, microgrids) and renewable energy co-location.
  • Navigate regulatory frameworks for energy tariffs, grid reliability, and sustainability reporting.
  • Lead due diligence and execution of mergers, acquisitions, and joint ventures.
  • Support financing activities, including construction loans, recapitalizations, and structured transactions.
  • Manage corporate governance, board matters, and investor relations.

Requirements

  • J.D. from an accredited law school; admitted to practice and in good standing with at least one U.S. state bar.
  • 10+ years of broad-based legal experience, ideally including in-house General Counsel or Deputy General Counsel roles.
  • Proven expertise in data center leasing transactions, land acquisition, and real estate development.
  • Deep knowledge of corporate governance, commercial contracts, and regulatory compliance.
  • Experience with energy strategy, utility agreements, and large-scale development projects strongly preferred.
  • Strong negotiation skills and ability to manage complex, high-value transactions.
  • Exceptional business acumen and ability to balance legal risk with commercial priorities.
  • Demonstrated success building and scaling legal and compliance programs in a growth-oriented organization.
