About the role
- Draft corporate documents, including but not limited to amendments to articles of association or bylaws, shareholder/quotaholder agreements, board and shareholders meetings minutes, and other corporate instruments related to the Group’s companies;
- Participate in activities related to the incorporation of new companies and changes to existing entities, including paralegal procedures before government agencies and regulatory bodies;
- Ensure corporate compliance for the companies by monitoring deadlines, filings and registrations with the Commercial Registries and other competent authorities;
- Provide legal advice to internal departments and other group companies on corporate and governance matters, clarifying questions, assessing risks and proposing legally sound solutions aligned with the business;
- Prepare legal opinions and technical guidance on corporate matters, taking into account applicable law, administrative precedents and market best practices;
- Act as the liaison with external law firms and service providers, monitoring filings, requirements and the actions necessary to regularize corporate acts;
- Support requests involving internal or external audits by providing corporate information and documents when required;
- Ensure the organization and updating of corporate files and controls, both physical and digital, guaranteeing traceability and reliability of information;
- Work collaboratively with other lawyers, interns and partner areas, contributing to the standardization of corporate documents and workflows;
- Support junior lawyers and interns on lower-complexity matters, promoting knowledge exchange and technical development of the team;
- Contribute to the continuous improvement of the Legal Advisory’s processes with a practical perspective, focusing on efficiency and risk mitigation.
Requirements
- University degree in Law and active registration with the Brazilian Bar Association (OAB);
- Solid experience in corporate law matters (articles/bylaws, board and shareholders minutes, shareholder/quotaholder agreements, assemblies, joint ventures, M&A, due diligence processes, commercial contracts, investment agreements, etc.);
- Experience with administrative procedures before government agencies and regulatory bodies;
- Proficiency in Microsoft Office suite;
- Advanced English (will be tested);
- Strong analytical skills and ease in dealing with people;
- Results-oriented with ability to manage workloads and deadlines;
- Excellent oral and written communication with all types of audiences;
- Motivated to work in teams and possess an innovative mindset.
