About the role

  • Drafting, reviewing, and updating corporate documents for Ltd. and S.A. companies (articles of incorporation/bylaws, minutes, shareholder/partner agreements).
  • Leading shareholders' and partners' meetings and assemblies, including preparation of documents, publications, and filings/registrations.
  • Managing routine ordinary and extraordinary corporate procedures.
  • Structuring and executing corporate transactions: incorporations, mergers, spin-offs, conversions, and complex reorganizations.
  • Legal support for M&A transactions (due diligence, contract review, legal opinions, and memoranda).
  • Drafting and implementing governance policies, internal regulations, and codes of conduct.
  • Advising boards of directors, partners/shareholders, and internal committees.
  • Analysis and issuance of legal opinions.
  • Legal advisory on corporate group structures, holding companies, and corporate planning.

Requirements

  • Law degree (LL.B. or equivalent).
  • Active registration with the Brazilian Bar Association (OAB).
  • Previous experience in corporate law.
  • Availability to work in a hybrid model (3 days on-site - Taquaral).
  • Working hours: 8:00 AM to 5:00 PM.
  • Resident in Campinas or surrounding area.
