About the role

  • Support attorneys in the German Corporate Practice Group with all aspects of transactional work, including entity formation, maintenance, due diligence, regulatory filings, and preparation of transactional documents
  • Prepare and file formation and qualification documents for corporations, LLCs, and other legal entities in U.S. jurisdictions
  • Draft, edit, and distribute corporate documents, including resolutions and basic contracts
  • Support maintenance of trademark portfolios under supervision
  • Maintain corporate minute books, stock ledgers, and cap tables; coordinate execution of documents and manage closings
  • Coordinate closings, including preparation of closing checklists, signature pages, and closing binders
  • Interact with clients, attorneys, and government agencies regarding corporate filings and compliance matters
  • Organize and maintain a comprehensive and accurate filing system (both paper and electronic) for business records, documents, reports and deadlines
  • Conduct online research and utilize electronic resources efficiently and effectively

Requirements

  • Bachelor’s degree required
  • Minimum of 2 years of relevant corporate paralegal experience in a law firm
  • Familiarity with corporate and transactional documents, terminology, and procedures
  • Strong working knowledge of entity formation and corporate maintenance requirements in Delaware and other jurisdictions
  • Native or bilingual proficiency in German a plus
  • Ability to work overtime, as needed
  • Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook), WestLaw, LexisNexis, iManage, OneDrive or similar document management programs
  • Ability to manage workloads from multiple attorneys, organize and prioritize deadlines as assigned
  • Effective written and verbal communication skills; ability to summarize information concisely
  • Strong attention to detail, with accurate data entry and proofreading abilities
