About the role
- Assist in the preparation of draft Board and Committee meeting materials and minutes, and maintain the official minute book of the corporation and related entities.
- Assist in drafting agendas, resolutions and secretary’s certificates, obtain requisite signatures, notarize, track and maintain same.
- Assist in the preparation and filing of SEC documents, including annual and quarterly reports, proxy statements, and Section 16 filings.
- Support planning and logistics for annual stockholder meetings.
- Support administration of our insider trading policy, including coordination of internal inquiries on the policy, communications related to trading windows, and coordinating various stock administration matters with the Stock Team, including10b5-1 trading plans.
- Manage requests for information and documents from our internal and external auditors, regulators, partners, and other stakeholders.
- Provide administrative support for documents and activities related to strategic transactions, M&A activity, new entity formations, dissolutions and changes in directors and officers.
- Oversee from subsidiary compliance, working closely with finance and outside counsel.
- Track litigation and other disputes, assist in responding to subpoenas and support managing communications with insurers, as needed.
- Manage sustainability and governance program.
- Support special projects as needed, including research, organization, and project management, OKR tracking and team budget support.
Requirements
- 5+ years corporate paralegal experience at a law firm, in-house legal department, or a combination of both.
- Organized and detail-oriented, with excellent analytical skills.
- Must be able to manage numerous projects simultaneously under deadline pressure.
- Ability to adapt and thrive in a fast-paced environment.
- Strong written and oral communication skills.
- Excellent tech skills, including Microsoft Office applications California Notary Public current certification preferred.
- Ability to work independently with oversight and interact effectively with individuals at all organizational levels, including executives and senior management.
- Exceptional interpersonal skills, results-driven, highly collaborative and team-oriented.
- Bachelor’s degree, or paralegal certification preferred.
