About the role

  • Lead the negotiation and execution of complex commercial transactions, including payor contracts and vendor agreements, ensuring alignment with business and regulatory requirements.
  • Monitor evolving regulatory requirements affecting commercial agreements to maintain ongoing compliance with healthcare laws.
  • Develop and own a commercial contracting playbook, including standard templates and fallback positions, driving organizational consistency and scalability.
  • Identify and mitigate legal risks within proposed business workflows, implementing strategies to protect company interests.
  • Manage external counsel for specialized matters, enabling cost-effective results that integrate with business objectives.
  • Provide practical, solution-oriented legal guidance to stakeholders on commercial legal decisions and activities
  • Partner with Legal Operations to drive efficiency and automation in contracting workflows and management systems.
  • Perform other duties as assigned.

Requirements

  • J.D. from an accredited law school and admission to at least one U.S. state bar.
  • 5+ years of relevant legal experience, with a strong focus on commercial and transactional work.
  • Demonstrated experience drafting and negotiating a variety of commercial agreements, including health payor contracts, SaaS vendor contracts, and other vendor contracts.
  • Knowledge of the U.S. healthcare regulatory frameworks, including the Anti-Kickback Statute and the Physician Self-Referral Law (Stark), and the ability to apply them pragmatically to business objectives.
  • Experience with commercial, federal, and state payors.
  • Demonstrated ability to manage multiple priorities and collaborate effectively in a fast-paced, dynamic environment.
