About the role

  • Assist in managing pre-litigation disputes and formal litigation matters.
  • Coordinate with external counsel, including managing document discovery, drafting hold notices, and tracking case progress and budgets.
  • Conduct legal research and draft memos on issues related to user disputes, regulatory inquiries, and potential claims.
  • Support the development and implementation of internal processes to mitigate litigation risk.
  • Draft, review, and negotiate a variety of commercial agreements, including: Vendor and supplier agreements, Technology and SaaS licenses, Marketing and partnership agreements, Non-disclosure Agreements (NDAs), Basic service terms for users.
  • Support senior counsel on more complex negotiations (e.g., banking, data, and strategic partnerships).
  • Help maintain and organize the company’s contract management system.
  • Monitor and research evolving laws and regulations affecting cryptocurrency exchanges, fintech, and financial services in our key jurisdictions.
  • Assist in preparing legal advisories and compliance guidance for business teams on new products, features, and marketing initiatives.
  • Support the company’s licensing and registration efforts globally.
  • Provide support on corporate governance matters for the company and its subsidiaries.
  • Assist in the preparation of materials for board and shareholder meetings, including resolutions, minutes, and presentations.
  • Help maintain corporate records, statutory books, and corporate registrations.
  • Support the company’s data privacy compliance program under regulations like the DPA, GDPR, CCPA, and others.
  • Assist in reviewing and updating privacy policies, cookie notices, and data processing agreements (DPAs).
  • Help conduct privacy impact assessments for new projects and products.
  • Other related tasks that may be assigned by the line manager.

Requirements

  • Law degree from an accredited law school and admitted to practice in the Philippines
  • 1-3 years of post-qualification experience, preferably at a reputable law firm or in-house at a technology, financial services, or fintech company. Candidates with a strong demonstrated interest in crypto and a stellar academic record will be considered.
  • Solid foundational knowledge of contract law, corporate law, and litigation procedures.
  • Exposure to, or strong interest in, financial regulations, cryptocurrency, blockchain technology, and data privacy laws.
  • Tech-Savvy: A genuine interest in and understanding of technology, cryptocurrency, and blockchain.
  • Business-Minded: Ability to understand business objectives and provide practical, risk-based legal advice.
  • Proactive & Agile: A self-starter who can manage multiple priorities in a fast-moving environment with a "get things done" attitude.
  • Exceptional Communicator: Strong written and verbal communication skills, with the ability to explain complex legal concepts to non-lawyers.
  • Detail-Oriented: Meticulous attention to detail in drafting, research, and process management.
  • Team Player: Collaborative spirit with a willingness to learn and support colleagues at all levels.
