About the role

  • Lead legal due diligence processes, prioritizing material issues.
  • Conduct SPA (Share Purchase Agreement) reviews and negotiations to achieve favorable outcomes.
  • Coordinate and efficiently manage external M&A law firms.
  • Draft articles of association and execute legal mergers and changes of legal form.
  • Draft and review key contracts (NDAs, loan agreements, HR/employment contracts, service agreements).
  • Establish and implement legal management policies and compliance frameworks.
  • Implement cost controls for external legal advisers in collaboration with the finance department.

Requirements

  • 5–10 years of relevant experience at a top law firm (M&A/Corporate) or as in-house counsel in a fast-paced environment.
  • Fully qualified lawyer or equivalent international qualification with outstanding academic credentials.
  • Solid experience in M&A.
  • Strong negotiation skills with gravitas and proven bargaining abilities.
  • Extensive international network of lawyers in relevant practice areas (especially corporate law and M&A).
  • Pragmatic, flexible, and a can-do attitude.
  • Ability to work independently, build structures from scratch, and take responsibility without a large support team.
