About the role

  • Draft, review, and negotiate a broad range of commercial agreements, including:
  • - Master Services Agreements (MSAs)/Terms of Service
  • - Data processing agreements (DPAs)
  • - Reseller, distribution, and partnership agreements
  • - NDAs, licenses, supplier agreements, and other commercial contracts as needed
  • Serve as a primary legal partner to internal teams, advising on:
  • - Data privacy and data protection obligations (including various state laws GLBA, PIPEDA, and related industry frameworks)
  • - Allocation of risk (limitation of liability, indemnities, reps and warranties)
  • - Pricing structures, product terms, and go-to-market strategies
  • - IP ownership, licensing, and use of data, software, and APIs
  • Own privacy-related contracting workflows, including:
  • - Drafting and negotiating DPAs and Privacy Notices
  • - Partnering with Security and Engineering to align contractual commitments with technical controls
  • - Ensuring contracts reflect Atomic’s privacy, security, and data-use practices through collaboration with security and compliance teams.
  • Interpret and explain contractual rights, obligations, and restrictions in plain language, helping business teams understand both risk and opportunity
  • Draft, maintain, and continuously improve Atomic’s form agreements and playbooks
  • Stay current on regulatory developments and industry trends affecting fintech, payments, banking, and data privacy, and proactively advise stakeholders on compliance and best practices
  • Handle negotiations independently with minimal oversight, while clearly communicating tradeoffs, recommendations, and risk levels to the business

Requirements

  • 5+ years of experience drafting and negotiating B2B commercial contracts, ideally in fintech, SaaS, or data-driven businesses
  • JD and active membership in at least one U.S. state bar, in good standing
  • Strong understanding of:
  • - Commercial contract structures and negotiation strategy
  • - Data privacy and security concepts in a B2B context
  • - Intellectual property ownership, licensing, and data rights
  • Proven ability to manage complex, strategic deals from inception through execution
  • Writes clearly and practically—you understand the law deeply, but you don’t sound like a law review article
  • A trusted problem-solver who builds credibility with business partners and helps unblock progress
  • Comfortable prioritizing in a startup environment where not everything can be done at once—and you know how to focus on what matters most
  • Curious and resourceful: when you don’t know something, you know how to find the answer using regulatory guidance, external counsel, and your network
  • Able to pause, synthesize complexity, and explain legal concepts in a way your audience will actually understand
