Lead internal counsel for M&A and due diligence – collaborate on deal structure models and Letters of Intent, participate in M&A strategy and opportunity development, review/redline/draft NDAs and other preliminary deal documentation, direct due diligence for Legal and review/summarize/report on data room and diligence items.
Liaise with external counsel deal teams on all aspects of deal document drafting and negotiation, equity issuance, compensation models, and corporate governance and structural matters.
Ensure tail policies are obtained and tracked within Aprio.
Perform due diligence on any claims and litigation related to incoming firms.
Liaise with Integration teams for first 90 days of new firm integration.
Draft/review/consult on acqui-hire and other small deals that exist outside of the formal deal process.
Assist in harmonization process for incoming firms’ client-facing contract templates and assignment of relevant vendor and client agreements.
Review incoming firm disclosure schedules and prepare Aprio disclosure schedules.
Review lease assignment and other asset transfer agreements associated with deals.
Review and redline sophisticated MSAs, engagement letters, vendor contracts, BAAs, DPAs, SOWs, and other commercial contracts.
Performing other job-related duties as assigned, including special projects that may be assigned from time to time, with a best-in-class Legal Team that prioritizes innovation.
Requirements
Juris Doctorate Required from an accredited institution.
Possesses strong analytic, critical thinking and applies good judgment, and can provide creative and practical solutions to complex issues.
Excellent interpersonal and relationship building skills, including ability to work as a team player with a collaborative team and establish and maintain strong working relationships.
Excellent communication skills, both verbal and in writing, with internal stakeholders and external client and vendor relationships, including the ability to be an active listener, send clear, accurate and precise written communications, draft and deliver presentations, and present ideas and collaborate in one-on-one and in team meetings.
Prioritize client service – working well with internal “clients” and other stakeholders, including the ability to establish meaningful rapport with sophisticated clients to gain their confidence.
5+ years of relevant work experience in a law firm and/or in-house legal department, including experience advising on general corporate transactions.
Background in accounting firm legal practice, SEC or PCAOB regulatory environments, and PE-backed professional services firms.
