About the role
- Support 5’s clients in the negotiation of electricity and natural gas supply contracts.
- Draft, review, and/or negotiate a wide range of transactional documents, including referral agreements, joint ventures, bid letters, term sheets, acquisition agreements, equity commitment letters and other definitive agreements.
- Advise on transaction-related legal, structuring and regulatory matters and ensure ongoing compliance with applicable laws and regulations.
- Review and negotiate broker agreements, regulatory filings, and other commercial contracts.
- Support negotiation and review of employment agreements and address non-compete and non-solicit issues as they arise.
- Advise on litigation matters that impact 5 or its clients.
- Monitor and analyze regulatory developments and industry trends, including corporate governance and market practice.
- Provide support and counsel to all functional teams.
- Maintain knowledge of the laws and regulations governing 5’s business.
- Advise internal clients, including 5’s leaders, on complex business issues, compliance or risk assessment and work to develop business solutions to eliminate corporate risks.
Requirements
- JD degree from an ABA-accredited law school.
- Licensed to practice law in TX (or another state).
- A minimum of eight (8) years of combined successful legal experience in a law firm or sophisticated corporate legal department.
- Experience in the retail energy industry with particular emphasis on the negotiation of retail and wholesale (ISDA) contracts.
- Proven track record of exercising sound business and legal judgment, with appropriate attention to detail, with the ability to multitask effectively in a fast-paced and high-volume environment.
- Ability to work well both independently and in a team environment.
- Great leadership skills and strong desire to help grow other members of 5’s legal and regulatory teams.
- Ability to work efficiently with outside counsel as necessary within budget and/or timing constraints.
- Excellent negotiation, risk assessment and problem-solving skills.
- Excellent oral and written communication skills, particularly to assist a non-legal audience in understanding complex legal and regulatory requirements.
- Clear understanding and adherence to ethical principles, company values, code of conduct and policies.
