About the role

Key responsibilities & impact
  • Board Administration: Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices
  • Entity Management: Oversee corporate structure, subsidiary governance, and ensure compliance with regulatory requirements across all jurisdictions
  • M&A Support: Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective
  • Corporate Transactions: Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions
  • Public Company Readiness: Drive Webflow’s public company readiness, including due diligence coordination and working with external counsel.
  • Employment and Litigation: Lead our internal employment function, as well as our litigation efforts as they may arise
  • Securities and SOX Compliance: Develop and implement securities law compliance program and insider trader policies. Develop and implement SOX compliance framework, if and when applicable, including internal controls, disclosure procedures, and certification processes
  • Leadership: Build and lead Webflow’s corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations

Requirements

What you’ll need
  • JD degree with at least one active bar membership
  • 10+ years of relevant experience, with experience at a nationally-recognized law firm (required), and ideally a mixture of late stage private and public company experience
  • Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements
  • Experience with driving public company readiness, or managing public company compliance
