About the role

Key responsibilities & impact

Board Administration: Manage preparation for board and committee meetings, prepare materials, maintain corporate records and minutes, advise on governance practices
Entity Management: Oversee corporate structure, subsidiary governance, and ensure compliance with regulatory requirements across all jurisdictions
M&A Support: Lead legal due diligence, negotiate transaction documents, and manage post-acquisition integration from a legal perspective
Corporate Transactions: Negotiate and draft complex commercial agreements, financing documents, and other strategic transactions
Public Company Readiness: Drive Webflow’s public company readiness, including due diligence coordination and working with external counsel.
Employment and Litigation: Lead our internal employment function, as well as our litigation efforts as they may arise
Securities and SOX Compliance: Develop and implement securities law compliance program and insider trader policies. Develop and implement SOX compliance framework, if and when applicable, including internal controls, disclosure procedures, and certification processes
Leadership: Build and lead Webflow’s corporate legal team, manage outside counsel relationships, and optimize and create scalable corporate legal processes and operations

Requirements

What you’ll need

JD degree with at least one active bar membership
10+ years of relevant experience, with experience at a nationally-recognized law firm (required), and ideally a mixture of late stage private and public company experience
Experience with securities laws, corporate governance, M&A transactions, SEC reporting requirements, and SOX requirements
Experience with driving public company readiness, or managing public company compliance
