About the role
- Lead attorney for the negotiation and drafting of complex and strategic technology and commercial agreements and other legal documents (software and technology license/development agreements, SaaS agreements, data licensing agreements, consulting agreements, purchase agreements, proof of concept agreements, statements of work, and NDAs)
- Advise on the structure of transactions
- Support enterprise technology and streaming business units across technology/operations infrastructure, platforms and services, software licensing and development, data science and strategy, distribution technologies, production/post-production technologies, media supply chain, enterprise systems, IT and telecom, information security, advertising and marketing technology, payment processing technologies, AI technologies, and more
- Develop, implement, and direct programs and maintain deep knowledge in areas of responsibility
- Interpret and provide advice to internal clients regarding the company’s rights, obligations, restrictions, and contractual provisions
- Regularly liaise with EVP level and provide leadership and counsel to large, diverse teams of senior employees
- Provide strategic legal advice and counsel on licensing, technology, commercial, and AI-related legal topics
- Provide guidance on AI governance issues and the establishment and maintenance of AI policies
- Evaluate and provide advice on the use of AI, including identifying risks and ensuring appropriate contract protections
- Coordinate with Information Security and the Privacy office on data security and privacy issues and other stakeholders (Tax, Risk Management, Business Resiliency, Ethics & Compliance) related to contract negotiations
- Assist with development and maintenance of contract templates and standard contract provisions
- Complete projects and tasks as assigned and provide general support for the team
Requirements
- 12 years of technology and commercial transactional experience at a law firm and/or in-house legal department
- Some prior law firm experience is highly preferred
- JD and active member of at least one US state bar, in good standing
- Technically very proficient lawyer with substantial experience with technology and commercial transactions
- Prior experience with contracting for AI technologies and advising on AI related matters is preferred
- Superior drafting skills and substantial experience with contract negotiations
- Clear and concise communicator (both orally and written)
- Highly motivated self-starter with strong work ethic and ability to work under pressure in a fast-paced environment and juggle competing priorities effectively and efficiently
- Strategic thinker with excellent judgment and decision-making skills
- Strong interpersonal skills with the ability to work effectively at all levels within the company
- Strong organizational skills with great attention to detail
