About the role
- Mergers & Acquisitions: Lead and manage all legal aspects of clinic acquisitions and integrations, including due diligence, transaction structuring, drafting, negotiation, and closing of purchase agreements and related documents.
- Collaborate with finance, operations, HR, and integration teams to ensure efficient and compliant execution of transactions.
- Support post-acquisition integration and alignment of legal and compliance frameworks across entities.
- Contract Management: Draft, review, and negotiate a wide range of agreements.
- Develop standardized templates, processes, and approval frameworks to improve efficiency and reduce risk.
- Provide practical, business-focused legal advice to internal stakeholders.
- Ensure compliance with all applicable federal and provincial laws.
- Design, implement, and maintain internal compliance programs, policies, and staff training.
Requirements
- Education: Law degree (LL.B. or J.D.) from a recognized Canadian law school.
- Professional Status: Member in good standing of the Barreau du Québec (required).
- Experience: Minimum of 5 years of relevant legal experience, preferably in a law firm or in-house role in health law, business/corporate law, or mergers and acquisitions.
- Demonstrated experience drafting and negotiating complex agreements and advising on compliance matters in regulated industries.
- Strong understanding of Canadian and Quebec health law, privacy legislation, and professional regulatory frameworks.
- Excellent drafting, negotiation, and communication skills in both English and French (spoken and written), as you will collaborate with our sites across Canada.
