About the role

  • Provide legal guidance and negotiation for data center transactions in North America
  • Draft and negotiate data center agreements with hyperscalers, large wholesale, and enterprise clients, including, without limitation, tenant order forms, change orders, non-disclosure agreements, letters of intent, subordination, non-disturbance, and attornment agreements, lease agreements, colocation agreements, development agreements, master service agreements, service orders, and related documents
  • Draft commencement notices, delay notices, and other correspondence relating to customer agreements
  • Prepare summaries and abstracts of customer agreements and provide guidance on the terms of customer agreements
  • Review and revise after-action reports and similar documents for incidents and other circumstances related to customer agreements
  • Provide legal guidance with respect to compliance initiatives for customer agreements
  • Provide proactive and strategic-level advice that enables Vantage to achieve its business and strategic objectives while fully and appropriately managing and leveraging legal risk
  • Cross-Functional Collaboration: Work with cross-functional teams to gather input and consensus on technical, operational, and compliance aspects of data center transactions
  • Contract Management and Compliance: Assist with the development and updates to customer-related agreement templates and provide counseling on the use of such templates
  • Customer Relationship Management: Assist with all legal matters involving customer relationships
  • Additional Duties: Handle additional duties as assigned by Management

Requirements

  • JD from an ABA accredited law school and admission to a State Bar
  • 3+ years of relevant legal experience
  • Experience within the data center industry strongly preferred
  • Strong organizational and project management skills
  • Strong written and verbal communication skills
  • Well-rounded lawyer who is also a practical and business-minded executive
  • Strong communication, negotiation, and legal writing skills
  • Good interpersonal and management skills
  • Excellent organization and problem-solving skills that enable the candidate to juggle multiple responsibilities at once and consistently meet tight deadlines
  • Impeccable integrity, credibility, character, and ethics
  • Travel required is expected to be up to 5%
