About the role
- Provide legal guidance and negotiation for data center transactions in North America
- Draft and negotiate data center agreements with hyperscalers, large wholesale, and enterprise clients, including, without limitation, tenant order forms, change orders, non-disclosure agreements, letters of intent, subordination, non-disturbance, and attornment agreements, lease agreements, colocation agreements, development agreements, master service agreements, service orders, and related documents
- Draft commencement notices, delay notices, and other correspondence relating to customer agreements
- Prepare summaries and abstracts of customer agreements and provide guidance on the terms of customer agreements
- Review and revise after-action reports and similar documents for incidents and other circumstances related to customer agreements
- Provide legal guidance with respect to compliance initiatives for customer agreements
- Provide proactive and strategic-level advice that enables Vantage to achieve its business and strategic objectives while fully and appropriately managing and leveraging legal risk
- Cross-Functional Collaboration: Work with cross-functional teams to gather input and consensus on technical, operational, and compliance aspects of data center transactions
- Contract Management and Compliance: Assist with the development and updates to customer-related agreement templates and provide counseling on the use of such templates
- Customer Relationship Management: Assist with all legal matters involving customer relationships
- Additional Duties: Handle additional duties as assigned by Management
Requirements
- JD from an ABA accredited law school and admission to a State Bar
- 3+ years of relevant legal experience
- Experience within the data center industry strongly preferred
- Strong organizational and project management skills
- Strong written and verbal communication skills
- Well-rounded lawyer who is also a practical and business-minded executive
- Strong communication, negotiation, and legal writing skills
- Good interpersonal and management skills
- Excellent organization and problem-solving skills that enable the candidate to juggle multiple responsibilities at once and consistently meet tight deadlines
- Impeccable integrity, credibility, character, and ethics
- Travel required is expected to be up to 5%
