About the role

Key responsibilities & impact
  • Prepare basic legal documents
  • Conduct basic legal research and perform related administrative duties
  • Assist attorneys with entity and subsidiary management, corporate governance matters
  • Regulatory filings/matters and special projects
  • Maintain corporate minute books and databases
  • Organize and manage filings and draft basic organizational documents, minutes, and written consents
  • Draft legal documents such as shareholder/member and director/manager resolutions
  • Perform basic legal research including review of corporate organizational documents
  • Entity management and statutory filings for all subsidiaries in all jurisdictions, including annual reports and other required filings
  • Manage corporate record retention policy and related activities
  • Assist with other special projects as needed
  • Provide general paralegal support, including notary duties
  • Assist attorneys with regulatory and other filings

Requirements

What you’ll need
  • 3+ years of experience in a paralegal, corporate governance, or related legal support role
  • Proficient computer and office equipment experience
  • Proficient experience in corporate governance and entity management
  • Proficient experience in drafting legal documents and document production
  • Ability to identify and prioritize issues and problem solve
  • Ability to manage multiple priorities under short deadlines
  • Excellent organizational and communication skills (oral and written)
  • Strong attention to detail
  • Prior experience as a paralegal in a law firm or in-house corporate law department a plus
  • Notary designation required.
  • Paralegal certification required. Bachelor's Degree preferred (specify major preferred: Paralegal studies).
