About the role
- Draft, review, analyze and negotiate strategic agreements, commercial contracts, service agreements, supply contracts, confidentiality agreements, partnership agreements and other instruments, ensuring legal compliance, risk mitigation and alignment with the organization’s interests.
- Identify contractual risks and propose adjustments to strengthen legal certainty.
- Provide legal advisory to internal teams on contractual, corporate and regulatory matters.
- Act as a business partner in strategic negotiations with clients, suppliers and partners.
- Prepare legal opinions on contractual and corporate matters and on operational risks.
- Support the structuring and standardization of corporate contract templates.
- Manage the contract lifecycle, monitoring deadlines, renewals and obligations.
- Work with compliance and governance to ensure regulatory adherence.
- Support M&A transactions, including due diligence, risk analysis, and drafting and reviewing related instruments (purchase and sale agreements, shareholder/quotaholder agreements, memoranda, binding term sheets, reorganizations, guarantees, among others), in addition to supporting negotiations.
- Contribute on corporate law matters such as corporate acts, shareholder agreements, reorganizations and structured transactions.
- Monitor legislative changes that impact contracts, M&A and corporate matters and promote necessary adjustments.
- Support the resolution of contractual disputes and implement preventive risk strategies.
Requirements
- Law degree with active OAB registration; specialization in Business Law is desirable.
- Solid experience in corporate contracts, corporate law and M&A.
- Proven experience drafting, reviewing and negotiating strategic contracts.
- Experience in due diligence, risk analysis and providing negotiation support.
- Consultative experience acting as a business partner to internal teams.
- Knowledge of corporate governance and compliance.
- Strong command of Contract, Corporate and Regulatory Law.
- Experience in contract management (deadlines, renewals and obligations).
- Advanced English is desirable.
- Availability to work in São Bernardo do Campo – hybrid, 3 days per week on-site.
