About the role

Key responsibilities & impact

Assist with the formation, structuring, and ongoing management of corporate entities.
Support due diligence efforts for potential M&A transactions, including document review and organization.
Review, draft, and negotiate a variety of contracts, including vendor agreements, NDAs, and service agreements.
Prepare and submit state regulatory filings, ensuring ongoing compliance with applicable cannabis laws and regulations.
Conduct legal research on corporate, compliance, and regulatory matters affecting the cannabis industry.
Support corporate governance activities, including maintaining corporate records and drafting resolutions.
Collaborate with internal stakeholders to provide practical legal guidance that aligns with business objectives.
Assist senior attorneys with other legal matters as needed.

Requirements

What you’ll need

Juris Doctor (J.D.) degree from an accredited law school.
Licensed to practice law and in good standing in at least one U.S. jurisdiction.
1-3 years of legal experience, preferably in corporate law or regulatory compliance (cannabis industry experience is a plus).
Strong understanding of corporate entity structures and governance.
Ability to manage multiple tasks and deadlines in a fast-paced environment.
Excellent organizational skills, attention to detail, and analytical abilities.
Strong written and verbal communication skills.
Proactive, adaptable, and eager to learn in a rapidly changing industry.
